By accessing our website, engaging our professional services, or submitting a project inquiry, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. These Terms constitute a legally binding agreement between you ("Client") and BlueMint Technologies LLC.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not accept these Terms and may not use our services.

The specific scope, deliverables, timelines, and milestones for each project are defined in individual project agreements or statements of work (SOW) executed between both parties. In the event of a conflict between these Terms and a project agreement, the project agreement shall prevail for that specific engagement.
Upon receipt of full payment, the Client receives complete ownership of all custom code, designs, content, and deliverables created specifically for their project. This includes source code, design files, and all associated assets as defined in the project agreement.
Projects may incorporate open-source libraries, frameworks, or third-party tools. These components remain subject to their respective licenses. We will disclose any significant third-party dependencies used in your project upon request.
BlueMint Technologies LLC retains the right to showcase completed work in our portfolio, marketing materials, and case studies for promotional purposes — unless a non-disclosure agreement (NDA) or specific written agreement states otherwise.
Any templates, tools, methodologies, or proprietary frameworks developed by BlueMint Technologies LLC prior to or independently of the project remain our intellectual property. Clients receive a perpetual, non-exclusive license to use these materials as part of their delivered project.
Unless otherwise specified in a project agreement, our standard payment schedule is:
All payments are processed securely through Stripe, a PCI DSS Level 1 certified payment processor. We also offer custom invoicing for larger engagements. We do not store your full payment card details on our servers — all sensitive payment data is handled directly by Stripe.
Invoices are due within 15 business days of issuance unless otherwise agreed. Late payments may incur a fee of 1.5% per month on the outstanding balance. We reserve the right to pause active work on a project if payment is more than 30 days overdue.
Once work has commenced, refunds are issued only for fees paid for work not yet performed. Completed work is non-refundable. Refund requests must be submitted in writing to support@bluemintstudios.com.

Delays caused by late client deliverables, unresponsive communication, or scope changes may impact project timelines and costs. We will communicate proactively about any such impacts.
Both parties agree to maintain the confidentiality of proprietary information exchanged during the course of the engagement. Confidential information includes, but is not limited to:
Confidentiality obligations survive the termination of the engagement for a period of 2 years. A formal Non-Disclosure Agreement (NDA) is available upon request for projects requiring enhanced confidentiality protections.

These limitations apply regardless of the form of action, whether in contract, tort, strict liability, or otherwise, and shall survive termination of these Terms.
We warrant that all deliverables will be produced with professional skill and care, consistent with industry standards. For web development projects, we provide a 30-day bug fix warranty following final delivery, covering defects in code we authored (not third-party services, hosting issues, or client-introduced changes).
Except as expressly stated above, all services are provided "as is" without warranties of any kind, whether express or implied. We do not guarantee:

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.
Any disputes arising from or related to these Terms or our services shall be resolved through good-faith negotiation first. If a resolution cannot be reached, disputes shall be submitted to binding arbitration or the courts located in Palm Beach County, Florida. Both parties consent to the exclusive jurisdiction of such courts.
