Terms of Service

By accessing our website, engaging our professional services, or submitting a project inquiry, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. These Terms constitute a legally binding agreement between you ("Client") and BlueMint Technologies LLC.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not accept these Terms and may not use our services.

BlueMint Technologies LLC provides professional digital services including but not limited to:

• Web development: Custom website design, development, and deployment using modern technologies
• AI integration: Artificial intelligence solutions, automation, and intelligent system design
• Branding & logo design: Brand identity creation, logo design, and visual brand systems
• Cloud solutions: Cloud architecture, deployment, hosting setup, and infrastructure management
• Digital marketing: SEO, content strategy, and digital marketing consulting
• IT consulting: Technology advisory, system audits, and digital transformation guidance

The specific scope, deliverables, timelines, and milestones for each project are defined in individual project agreements or statements of work (SOW) executed between both parties. In the event of a conflict between these Terms and a project agreement, the project agreement shall prevail for that specific engagement.

Client Ownership

Upon receipt of full payment, the Client receives complete ownership of all custom code, designs, content, and deliverables created specifically for their project. This includes source code, design files, and all associated assets as defined in the project agreement.

Third-Party & Open-Source Components

Projects may incorporate open-source libraries, frameworks, or third-party tools. These components remain subject to their respective licenses. We will disclose any significant third-party dependencies used in your project upon request.

Portfolio Rights

BlueMint Technologies LLC retains the right to showcase completed work in our portfolio, marketing materials, and case studies for promotional purposes — unless a non-disclosure agreement (NDA) or specific written agreement states otherwise.

Pre-Existing Materials

Any templates, tools, methodologies, or proprietary frameworks developed by BlueMint Technologies LLC prior to or independently of the project remain our intellectual property. Clients receive a perpetual, non-exclusive license to use these materials as part of their delivered project.

Standard Payment Schedule

Unless otherwise specified in a project agreement, our standard payment schedule is:

• 30% upfront — Due upon project agreement execution (project kickoff deposit)
• 40% at midpoint — Due upon completion of the agreed midpoint milestone
• 30% upon completion — Due upon final delivery and client approval

Payment Processing

All payments are processed securely through Stripe, a PCI DSS Level 1 certified payment processor. We also offer custom invoicing for larger engagements. We do not store your full payment card details on our servers — all sensitive payment data is handled directly by Stripe.

Late Payments

Invoices are due within 15 business days of issuance unless otherwise agreed. Late payments may incur a fee of 1.5% per month on the outstanding balance. We reserve the right to pause active work on a project if payment is more than 30 days overdue.

Refunds

Once work has commenced, refunds are issued only for fees paid for work not yet performed. Completed work is non-refundable. Refund requests must be submitted in writing to support@bluemintstudios.com.

To ensure timely and successful project delivery, the Client agrees to:

• Provide timely feedback: Respond to review requests and approve deliverables within the agreed timeframe (typically 5 business days unless otherwise specified)
• Supply required assets: Provide content, images, branding guidelines, credentials, and other materials needed for project completion
• Grant necessary access: Provide access to hosting accounts, domain registrars, third-party services, and other platforms as needed
• Designate a point of contact: Assign a single decision-maker or project lead to streamline communication
• Respect scope: Understand that requests outside the agreed scope may require a change order with adjusted timeline and cost

Delays caused by late client deliverables, unresponsive communication, or scope changes may impact project timelines and costs. We will communicate proactively about any such impacts.

Both parties agree to maintain the confidentiality of proprietary information exchanged during the course of the engagement. Confidential information includes, but is not limited to:

• Business strategies, financial data, and trade secrets
• Project specifications, designs, and source code (prior to delivery)
• Login credentials and access tokens
• Client lists, internal processes, and unpublished content

Confidentiality obligations survive the termination of the engagement for a period of 2 years. A formal Non-Disclosure Agreement (NDA) is available upon request for projects requiring enhanced confidentiality protections.

Either party may terminate the engagement under the following conditions:

• With notice: Either party may terminate with 2 weeks (14 days) written notice sent via email
• For cause: Either party may terminate immediately upon material breach by the other party, provided written notice of the breach is given and the breach is not cured within 7 days
• Mutual agreement: Both parties may agree to terminate at any time in writing

Upon Termination

• The Client will be invoiced for all work completed up to the termination date
• All completed deliverables and work-in-progress will be transferred to the Client upon payment of outstanding invoices
• Access to shared accounts and credentials will be returned or revoked as appropriate
• Pre-paid deposits for unperformed work will be refunded

To the maximum extent permitted by applicable law:

• Liability cap: BlueMint Technologies LLC's total aggregate liability arising out of or related to the services shall not exceed the total amount paid by the Client under the applicable project agreement
• Exclusion of damages: We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill
• Force majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including natural disasters, pandemics, government actions, or internet service failures

These limitations apply regardless of the form of action, whether in contract, tort, strict liability, or otherwise, and shall survive termination of these Terms.

Our Warranty

We warrant that all deliverables will be produced with professional skill and care, consistent with industry standards. For web development projects, we provide a 30-day bug fix warranty following final delivery, covering defects in code we authored (not third-party services, hosting issues, or client-introduced changes).

Disclaimers

Except as expressly stated above, all services are provided "as is" without warranties of any kind, whether express or implied. We do not guarantee:

• Specific business outcomes, revenue increases, or traffic results
• Uninterrupted or error-free operation of delivered websites or applications
• Compatibility with future third-party updates, browser changes, or platform modifications

We will, however, work diligently to resolve any issues within the warranty period and communicate transparently about any limitations.

We handle all client data in accordance with our Privacy Policy. Key commitments include:

• Client data is protected with industry-standard security measures (SSL/TLS, encrypted storage)
• We never share client information with unauthorized third parties
• Payment information is processed through PCI-compliant Stripe — we never store full card details
• Clients may request access to, correction of, or deletion of their personal data at any time

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Any disputes arising from or related to these Terms or our services shall be resolved through good-faith negotiation first. If a resolution cannot be reached, disputes shall be submitted to binding arbitration or the courts located in Palm Beach County, Florida. Both parties consent to the exclusive jurisdiction of such courts.

We reserve the right to update or modify these Terms at any time. When we make changes:

• We will update the "Last Updated" date at the top of this page
• Active clients will be notified of material changes via email
• Continued use of our services after modifications constitutes acceptance of the updated Terms
